The Board of Directors' Meeting No.1/2009 of Asian Property Development Public Company Limited held on January 21, 2009 at Ocean Tower 1, 18th floor, 170/57 Rachadapisek Road, Klongtoey, Bangkok has resolved as follows :

1. Certified the Minutes of the Board of Directors' Meeting No.12/2008.

2. Approved the appointment of Mr. Nontigorn Kanchanachitra to be the director and chairman of audit committee of the Company for replacement of Mr. Naris Chaiyasoot who resigned from the director of the Company.
